1. General information
1.1. The “Seller” refers to Be Mirror UG (limited liability), acting for the brands Mues-Tec and Be Mirror.
1.2. The “Buyer” refers to any individual, company, or entity purchasing or agreeing to purchase goods or services from the Seller.
1.3. These “Conditions of Sale” outline the terms of sale between the Seller and the Buyer.
1.4. These Conditions of Sale apply to all goods or services provided by the Seller, prevailing over any conflicting terms or conditions.
1.5. The Buyer acknowledges that no representations outside these terms have influenced the contract with the Seller.
2. Prices
2.1. Quotations must be in writing and are valid for acceptance by the Buyer within 30 days from the date of quotation.
2.2. Prices quoted are ex works and are subject to change without notice due to factors such as exchange rate fluctuations or increased supplier prices.
2.3. Carriage and packing charges are additional unless otherwise specified.
2.4. The Seller reserves the right to invoice at the price prevailing at the time of goods dispatch.
3. Delivery
3.1. Delivery dates provided by the Seller are estimates, and time is not of the essence.
3.2. Late delivery does not entitle the Buyer to cancel the order.
3.3. The Seller will refund, replace, or repair any goods lost or damaged in transit, subject to timely notification by the Buyer.
4. Payment
4.1. Payments are due on demand or no later than within 30 days of the invoice date.
4.2. The Seller may suspend deliveries for overdue payments.
4.3. Overdue amounts may incur interest charges at 3% per month.
4.4. Storage charges may apply for goods held beyond the agreed delivery date.
4.5. Provisional credit may be granted, but payment becomes due immediately upon specified events.
5. Ownership and Risk
5.1. Risk in the goods passes to the Buyer upon delivery to the carrier.
5.2. Ownership remains with the Seller until full payment is received.
6. Cancellations and Reschedules
6.1. Cancellations or reschedules require written approval from the Seller and may incur charges.
6.2. No more than two reschedules are accepted, and cancellations/reschedules are not permitted within eight weeks of the delivery date.
7. Change of Design
7.1. The Seller reserves the right to make reasonable changes to the design during order execution.
8. Warranty
8.1. The Seller guarantees refunds, repairs, or replacements for defective goods notified within 12 months of delivery unless specified differently in the order confirmation.
8.2. No warranty is provided for the suitability of products for a particular purpose.
9. Force Majeure
9.1. The Seller is not liable for failure or delay in delivery due to causes beyond its control.
10. Origin of Goods
10.1. The Seller has production facilities in Germany and China. Refer to specific order confirmation for further details.
11. Export Control Regulations
11.1. Goods may be subject to export control regulations; the Buyer is responsible for obtaining necessary approvals.
12. Law
12.1 The contract is governed by German law, and the Buyer submits to the jurisdiction of the Court of Fulda.
